Terms of Service

These Terms of Service ("Terms") govern your access to and use of websites and products operated by Wisecode Solutions Pvt Ltd ("Wisecode", "we", "us", or "our"), including CareDesk, WiseWare, WiseTask, and WisePeople (collectively, "Services"). By accessing any Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and authorised to enter into contracts on behalf of your organisation to use our Services. By using the Services, you represent and warrant that these conditions are met.

2. Accounts and Subscriptions

Wisecode Services are offered on a subscription basis. Subscription terms, pricing, and renewal conditions are set out in the Order Form or Proposal provided to you. All subscriptions are subject to a 30-day free trial unless otherwise stated. We reserve the right to modify pricing with 30 days' advance notice.

3. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable Indian law
• Attempt to gain unauthorised access to any part of the Services or to other users' accounts
• Reverse engineer, decompile, or disassemble any component of the Services
• Upload or transmit malicious code, viruses, or any content that infringes third-party rights
• Resell, sublicense, or white-label the Services without written consent from Wisecode

4. Data Ownership

You retain full ownership of all data you input into the Services ("Customer Data"). Wisecode processes Customer Data solely to provide and improve the Services and does not sell or share it with third parties except as described in our Privacy Policy. On termination, you may export your data in standard formats within 30 days; after that period we may delete it.

5. Intellectual Property

All software, user interfaces, logos, and product names used in the Services are the intellectual property of Wisecode Solutions Pvt Ltd or its licensors. Nothing in these Terms grants you any ownership rights in the Services.

6. Warranties and Disclaimers

We provide the Services on an "as is" and "as available" basis. While we strive for 99.5% uptime, we do not warrant that the Services will be uninterrupted, error-free, or free from security vulnerabilities. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Wisecode's aggregate liability arising out of or related to these Terms or the Services will not exceed the total fees paid by you in the 12 months preceding the claim. In no event will Wisecode be liable for indirect, incidental, special, consequential, or punitive damages.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India. We encourage resolution through good-faith negotiation before formal proceedings.

9. Termination

Either party may terminate the subscription at the end of the then-current billing period. Wisecode may suspend or terminate access immediately if you materially breach these Terms and fail to cure the breach within 7 days of notice.

10. Changes to These Terms

We may modify these Terms at any time. We will notify subscribers via email at least 15 days before material changes take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
